Consumer Terms of Service

Welcome to Cognio Lab LLC! Before you access our services, please read these Terms of Service.

These Terms of Service (“Terms”) govern your use of Cognio Lab products and services, including any apps, software, and websites (together, our “Services”). These Terms are a contract between you and Cognio Lab LLC ("Cognio") (and not our Providers), and they include our Acceptable Use Policy. By accessing our Services, you agree to these Terms.

Please read our Privacy Policy, which describes how we collect and use personal information.

Note: Our Commercial Terms of Service govern your use of any Cognio Lab API keys, the Cognio Console, or any other Cognio offerings that reference the Commercial Terms of Service.

1. Who we are.
   Cognio Lab LLC is an AI research and development company committed to building reliable, interpretable, and beneficial AI systems. We conduct cutting-edge research, apply various safety techniques, and deploy the resulting systems through partnerships and products.

2. Account creation and access.

• Minimum age: You must be at least 18 years old, or the minimum age required to consent to using the Services in your location, whichever is higher.

• Your Cognio Account: To access our Services, we may ask you to create an Account. You agree to provide correct, current, and complete Account information and allow us to communicate with you about our Services. Any communications using your Account information will meet the legal requirement for notices.

You may not share your Account login information, Cognio API key, or credentials with others. You are responsible for all activity under your Account and agree to notify us immediately if you notice any unauthorized access by emailing support@cognio.com. You may close your Account at any time by contacting us at support@cognio.com.

• Business Domains: If you use an employer or organizational email, your Account may be linked to the organization's Cognio enterprise account, and the administrator may have control over your Account.

• Evaluation Services: We may allow limited-time evaluations of our Services. Evaluation use is for personal, non-commercial use only.

You may need to accept additional terms for certain Services. These terms supplement our Terms and may modify your rights or obligations, including any fees owed.

3. Use of our Services.
   You may access and use our Services in compliance with these Terms, our Acceptable Use Policy, and any guidelines we may post. You may not:

• Violate laws or regulations

• Develop products competing with our Services

• Reverse-engineer our Services

• Use automated means (bots, scripts) unless permitted via API

• Interfere with, disrupt, or harm our Services (e.g., by introducing malware or bypassing security measures)

4. Prompts, Outputs, and Materials.
   You may submit text or other materials to our Services (“Prompts”), which generate responses (“Outputs”). Together, Prompts and Outputs are “Materials.”

You retain ownership of your Prompts and, subject to compliance with these Terms, we assign to you any rights in the Outputs we generate from them. However, AI and large language models are frontier technologies, so we cannot guarantee the accuracy or reliability of Outputs.

• Reliance on Outputs: You should not rely on any Outputs without independent confirmation. Cognio does not guarantee that Outputs are correct, current, or complete.

• Our use of Materials: We may use Materials to provide, maintain, and improve the Services, but we will not train our models on private data unless specifically allowed.

5. Feedback.
   We appreciate feedback about our Services. By submitting Feedback, you agree that we can use it for any purpose without obligation to you.

6. Subscriptions, fees, and payment.
   You may be required to pay fees for access to certain Services. All payments are non-refundable except where required by law. Recurring subscriptions will automatically renew unless canceled in accordance with these Terms. We reserve the right to change fees with prior notice.

7. Third-party services and links.
   Our Services may include third-party services, for which we do not assume liability. Your use of third-party content and integrations is at your own risk and subject to their respective terms.

8. Software.
   We may offer updates to our software. Some updates may include open-source software, and in case of conflicts, the open-source license terms will apply.

9. Ownership of the Services.
   We and our Providers retain ownership of all intellectual property rights in the Services. No other rights are granted to you except as outlined in these Terms.

10. Disclaimer of warranties, limitations of liability, and indemnity.
    The Services are provided "AS IS" without warranties of any kind. We limit our liability to the amount you paid in the last six months, or $100, whichever is higher. You agree to indemnify us for any liabilities arising from your use of our Services.

11. General terms.
    We may modify or discontinue the Services at any time. These Terms may be updated at our discretion. Supplemental terms may apply to specific Services. If any part of these Terms is found unenforceable, it does not affect the validity of the remaining Terms.
